Welcome to ADOUER WOOD. These Terms & Conditions (the "Terms") govern your access to and use of our website www.adouerwood.com (the "Site") and the purchase of products or services from the Site. By accessing or using the Site, placing an order, or otherwise using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Site or place an order.

1. Definitions

• "Company" / "We" / "Us": Adouer Wood.
• "Customer" / "You" / "Your": Any user of the Site who browses, purchases or otherwise interacts with the Site.
• "Products": Goods offered for sale on the Site, including ready-to-ship and custom / made-to-order furniture.
• "Services": The Site, order processing, support, shipping and any related services provided by the Company.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to place an order on the Site. By placing an order, you represent that you meet these eligibility requirements.

3. Product Information & Availability

We make reasonable efforts to display accurate product descriptions, images, dimensions, finishes and pricing. However, slight variations may occur due to the natural characteristics of wood, screen color differences, or handcrafted production. Product availability is subject to change; we reserve the right to refuse or cancel any order if a product is unavailable or incorrectly priced.

4. Ordering & Acceptance

• Placing an order on the Site constitutes an offer to purchase the Products listed in your order.
• Order acceptance and contract formation occur when we send an order confirmation email that confirms acceptance of your order. In some cases, we may decline or cancel an order at our discretion (e.g., incorrect pricing, inventory issues, or suspected fraud).
• We reserve the right to limit quantities, refuse service, or cancel orders for any reason.

5. Pricing & Payment

• Prices displayed on the Site are in Indian Rupees (INR) and are inclusive/exclusive of taxes as indicated at checkout. The final payable amount will be shown in the order summary during checkout.
• We may change prices without prior notice, but price changes will not affect orders already accepted by us.
• Payment methods available at checkout are indicated on the Site. For custom orders, we may require full or partial advance payment before work begins.
• Orders are dispatched only after payment is authorized and cleared.

6. Custom & Made-to-Order Products

Custom and made-to-order Products are manufactured to your specifications (size, finish, upholstery, or other bespoke requests). Important terms:

• Processing for custom orders begins 12 hours after order confirmation. This window allows changes or cancellations before production starts.
• Once processing has begun, custom orders are generally non-cancellable and non-refundable, except as provided in our Cancellation & Refund Policy.
• In exceptional cases where cancellation is approved by the Company, a 25% custom manufacturing fee will be charged and the balance refunded to the original payment method.

7. Shipping & Delivery

Our Shipping Policy (available on the Site) governs handling times, transit times, delivery charges, and related terms. By placing an order, you accept that delivery timelines may vary due to product type, location, manufacturing time, and logistic constraints. Delivery is typically made to the ground floor only unless otherwise agreed.

8. Inspection, Returns & Refunds

• Inspect all deliveries upon receipt. Report any damage, defects, or missing items within the timeframe specified in our Shipping and Cancellation & Refund Policies.
• Refunds and returns are subject to our Cancellation & Refund Policy and any applicable warranty terms. Custom items are non-returnable unless defective or incorrectly supplied.

9. Warranty & Liability

We provide warranties on certain Products as specified on product pages or warranty cards. Warranty coverage and duration vary by product. Our liability for any claim arising from the purchase of Products is limited to the purchase price paid for the Product. To the fullest extent permitted by law, we disclaim all indirect, incidental, special, punitive or consequential damages.

10. Intellectual Property

All content on the Site, including images, text, graphics, logos and designs, is the property of Adouer Wood or its licensors and is protected by intellectual property laws. You may not reproduce, distribute or create derivative works without our written permission.

11. User Conduct

When using the Site or communicating with us, you agree not to: (a) post false or misleading information; (b) infringe on intellectual property rights; (c) interfere with the operation of the Site; or (d) use the Site for unlawful purposes.

12. Indemnification

You agree to indemnify and hold Adouer Wood and its officers, directors, employees, agents and affiliates harmless from any claims, damages, losses or expenses (including reasonable legal fees) arising from your breach of these Terms or your negligent or unlawful acts.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Adouer Wood’s total liability arising out of or in connection with these Terms and your use of the Site is limited to the amount you paid for the Product(s) that gave rise to the claim. We will not be liable for any indirect or consequential losses.

14. Force Majeure

We are not liable for delays or failures in performance due to causes beyond our reasonable control, including natural disasters, strikes, acts of government, pandemics, or transport disruptions.

15. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect and use personal information. By using the Site, you consent to data practices described in the Privacy Policy.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan. Parties will attempt to resolve disputes informally before initiating legal proceedings.

17. Amendments

We may update these Terms at any time. Updated Terms will be posted on the Site with a revised effective date. Continued use of the Site after posting indicates acceptance of the updated Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
